Registering Fund Securities

All management company securities must be registered with the SEC. In other words, management company securities are non-exempt securities. Investment companies use Form N-1A to register their securities. This form includes the fund’s registration statement, which must contain all of the information in the prospectus. Some of the more important information on Form N-1A includes:

  • Financial information on the fund (including 1-, 5-, and 10-year returns)
  • Shareholder fees and operating ex
