Registration Statement and Prospectus
The Securities Act specifies in great detail the information required to be filed in a registration statement. Part I of the registration statement must include the following:
• General information about the issuer. This includes the entity’s name, state or other jurisdiction of organization, and location of main office; names and addresses of officers or managers; compensation of officers or managers; a description of the entity’s business; and a brief description of any pending material legal proceedings against the program.
• Information about the issuer’s equity. This refers to the names and addresses of members or shareholders who own more than 10% of the entity.
