Registration Statement and Prospectus

The Securities Act specifies in great detail the information required to be filed in a registration statement. Part I of the registration statement must include the following:

General information about the issuer. This includes the entity’s name, state or other jurisdiction of organization, and location of main office; names and addresses of officers or managers; compensation of officers or managers; a description of the entity’s business; and a brief description of any pending material legal proceedings against the program.

Information about the issuer’s equity. This refers to the names and addresses of members or shareholders who own more than 10% of the entity.
