Unlawful Representations

The fact that a registration statement has been filed or put into effect, or that a registration statement is not under a stop order, does not mean that the SEC attests to its truth or accuracy, or that the registration statement does not contain an untrue statement or omission of a material fact. Section 23 of the Securities Act makes it unlawful to state or imply otherwise to any prospective purchaser.
