4.2.8.6. Passive Beneficial Ownership: Schedule 13G

Institutional investors that acquire beneficial ownership of more than 5% of a voting class of an issuer’s securities may use the less demanding Schedule 13G to report their acquisition if they meet the following conditions:

• The purchase was made in the normal course of business.

• The purchaser does not intend to change control of the issuer’s business.

I took my Series 24 on July 28 and passed!! I had not passed 2 prior Series 24 exams and was down to my last attempt.
