3.1.1. Form MA
Form MA requires a municipal advisor to provide specific information. This information includes:
Item 1: Identifying Information
• The firm’s name and Doing-Business-As (DBA) name
• IRS employer ID number
• Other registrations the firm may have
• Address of principal office and any other offices
• Mailing address and website
• Location of the firm’s books and records
• Identification and contact information for the firm’s Chief Compliance Officer (CEO)
• Any foreign regulatory agencies that the firm is registered with
• Business affiliates of the firm
Item 2: Form of Organization
• How the firm is structured (e.g., corporation, partnership, LLC, sole proprietorship, limited liability partnership)
• Date of fiscal year and date of organization
• State or foreign jurisdiction where the firm is organized
• Whether the firm is a public reporting company under the Exchange Act
Item 3: Successions
• Whether the firm is succeeding to the business of a registered MA
Item 4: Information About Firm’s Business
• Number of employees (excluding clerical, administrative, and support workers)
• Estimate of how many employees work on municipal advisory activities and how many of these are registered representatives of a broker-dealer and how many are investment adviser representatives
• Estimate of the number of firms or persons not employed by the MA that solicit clients on the firm’s behalf, and the names of these firms
• List of employees that act as affiliates of the firm (do business independently on behalf of the firm)
• List of clients and the types of clients (e.g., municipal entities, non-profits, obligated persons, etc.)
• Number and types of clients that were solicited by a third party
• Description of compensation arrangements
• Description of the types of advisory activities
