We have seen that an investor who wishes to invest in a private offering must complete and sign a subscription agreement. The subscription agreement serves as an order form detailing the investor’s purchase, a disclosure document for the investor, and a way for the dealer to document that it is only selling to investors for whom the DPP offering is suitable.
