Issuer-Managed DPP Offerings

The dealer-managed offering is used most commonly to organize large DPP offerings. But smaller issuers will often decide to be their own dealer-manager and directly solicit and contract with the selected dealers. This is called an issuer-managed offering. The soliciting dealers in an issuer-managed offering each sign separate agreements with the issuer. In the absence of a dealer-manager, they may also receive a greater share of the underwriting spread
