A proxy statement is a disclosure document that a public company must send to its shareholders in advance of any meeting at which shareholders are expected to vote. The proxy statement must disclose material information about issues on which shareholders are expected to vote by proxy. This information must also be filed with the SEC on Schedule 14A. Normally, proxy statement information deals with proposed members of the board of directors and their proposed compensation, which may be interesting but not terribly relevant to most investment bankers.
