The issuer making the tender offer must file with the SEC the first public announcement of the tender offer and all subsequent written communications relating to the tender offer. The issuer must also file a Schedule TO, including exhibits. The Schedule TO—the TO stands for “tender offer”—must include material information about the terms of the tender offer, including the total number of shares sought, the type and amount of consideration offered, the expiration date of the offer, the procedures for tendering, the terms of any agreement between the company and any third person relating to the securities, and the issuer’s financial statement (if material). The issuer must also describe the purpose of the offer and plans
