While getting the best price is clearly a high priority, there is more to evaluating indications of interest than simply ranking them in order of proposed purchase price range. The sell-side advisor will also examine conditions attached to the bids and note any IOIs that appear to be frivolous or from buyers that might have an ulterior motive for submitting a bid.
