Once the Form 1-A is on file with the SEC, an issuer may offer the securities orally or in writing. A written offer must be accompanied by a “preliminary offering circular,” which conveys essentially the same information as the offering circular. The final offering price and information related to the offering price need not be displayed. However, the preliminary offering circular must include a good faith estimate of the maximum offering price and maximum number of shares to be issued.
