A seasoned issuer is eligible to use Form S-3 to register primary issues, but does not meet the financial standards required for WKSI status. (As a mnemonic device, you might think of a seasoned issuer as one sprinkled with obscure herbs and spices—that is to say, seasoned, but not “well-known seasoned.”)
