Qualified Institutional Buyers (QIBs)

A qualified institutional buyer (QIB) is a large institutional investor, generally defined by the SEC as an entity that manages at least $100 million in securities for its own account or for other QIBs. As we discuss in Chapter 8, certain securities transactions involving QIBs are exempt from registration requirements.
