Definition of the term Registered Direct Offering (RDO)...

a type of public offering in which shares from an existing shelf registration are sold to institutional investors, often through a placement agent, without soliciting public interest in the shares. The increased confidentiality of the sales helps prevent downward pricing pressure on the issuer’s stock.
