Definition of the term Prospectus Supplement...

an amendment to a shelf registration that must be filed before a takedown (i.e., before a portion of the shelf offering may be made available to investors). It contains information specific to that takedown. When conducting the takedown, both the base prospectus and the prospectus supplement must be distributed to investors. Compare to base prospectus.
