Definition of the term Partial Tender Offer...

a tender offer in which the offeror does not seek to purchase all of the subject securities that are outstanding. This creates the possibility that more securities will be tendered than are sought. If this occurs, the offeror is usually required to accept tenders on a pro rata basis. This means that the same percentage of tendered shares must be purchased from all tenderers.
