Definition of the term Split-off...

a type of spin-off in which shares of the subsidiary’s stock are distributed to those shareholders who are willing to exchange their shares in the parent company for shares in the subsidiary. Afterward, two groups of shareholders exist: shareholders of the former parent only and shareholders of the subsidiary only.
