Definition of the term Delayed Offering...

a shelf offering that does not begin until some future date, perhaps well after the shelf registration’s effective date. With some exceptions, the ability to conduct a shelf offering as a delayed offering is limited to issuers eligible to file the shelf registration on Form S-3.
