Definition of the term Private Placement Agent...

an agent hired by an issuer in a private placement offering who serves as a sort of underwriter to find and secure sophisticated institutional investors for the new issue. Private placement agents must be registered as broker-dealers with the SEC. Also called just a placement agent.
