Series 79: Standstill Clause

Definition of the term Standstill Clause...

a clause sometimes included in the confidentiality agreement for an M&A transaction in which the target is a public company. It prohibits a buyer who fails to complete the transaction from attempting a hostile takeover or seeking to amass shares of the target in the open market.
